No Way Bets – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the No Way Bets website, application, and related services (collectively, the “Service” or “No Way Bets”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

In these Terms:

• “We,” “us,” and “our” refer to No Way Bets.
• “Player” means an individual who joins or participates in a pool hosted via the Service.
• “Pool Owner” or “Sponsor” means the business or organization that creates and administers a pool for its customers, employees, or other participants using the Service.

1. Purpose of the Service – Non-Gambling Platform

1.1 Promotional & Entertainment Use Only.
No Way Bets is designed as a promotional and entertainment tool that allows businesses to create “pools” where Players can make non-monetary picks or predictions (for example, on sporting events) for fun, bragging rights, and potential non-cash or promotional prizes offered by the Pool Owner.

1.2 No Real-Money Gambling.
No Way Bets is not a gambling site and does not:

• Accept, hold, or process any real-money wagers;
• Provide any mechanism for Players to deposit, withdraw, or win money; or
• Set or manage odds or payouts for monetary gambling.

1.3 Private Monetary Arrangements.
If a Pool Owner or any third party chooses to associate real money or other private side bets with pools created using the Service:

• Such activity is outside of No Way Bets’ control and is not permitted or endorsed by No Way Bets.
• No Way Bets is not a party to any such agreements or arrangements.
• No Way Bets has no responsibility or liability for any monetary losses, disputes, legal consequences, or regulatory issues arising from such activity, whether between Pool Owners and Players or among any other parties.

By using the Service, you acknowledge and agree that No Way Bets does not condone or facilitate gambling and is not responsible for any real-money wagering or side bets you may choose to engage in outside the Service.

2. Eligibility

2.1 Minimum Age.
You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2.2 Compliance With Local Laws.
You are solely responsible for ensuring that your use of the Service complies with all laws, regulations, and rules applicable to you in your jurisdiction (including laws related to contests, sweepstakes, promotions, and gambling).

3. Accounts and Access

3.1 Account Creation.
To use certain features of the Service, you may need to create an account and provide accurate, current, and complete information. You agree to update your information as needed to keep it accurate and complete.

3.2 Account Security.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account or any security breach.

3.3 Suspension or Termination.
We may, at our sole discretion, suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

4. Pool Owners / Sponsors

4.1 Creation and Administration of Pools.
Pool Owners are solely responsible for:

• Creating and configuring pools;
• Setting rules, eligibility, scoring criteria, and prize structures for their pools; and
• Ensuring that all such rules and structures comply with applicable laws, regulations, and company policies.

4.2 Prizes and Fulfillment.
Any prizes offered in connection with a pool (including weekly prizes, seasonal prizes, or any other rewards) are offered and fulfilled solely by the Pool Owner, not by No Way Bets.

• No Way Bets does not sponsor, fund, guarantee, or deliver any prize.
• All obligations to award, ship, deliver, or otherwise provide any prize rest exclusively with the Pool Owner.

4.3 Legal Compliance and Licenses.
Pool Owners are solely responsible for determining whether their use of the Service, and any associated promotions or contests, comply with all applicable laws and regulations, including but not limited to:

• Promotions, sweepstakes, and contest laws;
• Employment and labor laws (for employee pools);
• Consumer protection and advertising laws.

No Way Bets does not provide legal advice and assumes no responsibility for a Pool Owner’s compliance obligations.

4.4 Monetary Use Prohibited on the Service.
Pool Owners agree not to:

• Use the Service to process or record payments, wagers, or financial stakes;
• Use the Service as a mechanism to settle debts or distribute monetary winnings; or
• Advertise the Service as a gambling product or as a means to win money.

If a Pool Owner chooses to run monetary pools outside the Service, they do so solely at their own risk and responsibility.

5. Players

5.1 Participation.
By joining a pool, Players acknowledge that:

• The pool is administered by the Pool Owner, not by No Way Bets.
• Any pool rules, eligibility criteria, or prize descriptions are set by the Pool Owner.
• Any disputes related to eligibility, scoring, rankings, or prizes must be resolved directly with the Pool Owner.

5.2 No Guarantee of Prizes.
Players understand and agree that:

• No Way Bets does not guarantee that any prize will be awarded or delivered.
• No Way Bets is not responsible for prize quality, value, timing, or fulfillment.
• Any issues regarding a prize (non-delivery, substitution, defects, etc.) are solely between the Player and the Pool Owner.

5.3 Player Conduct.
Players agree not to:

• Harass, threaten, or abuse other users;
• Cheat, tamper with scoring, or otherwise manipulate results; or
• Use the Service for any illegal purpose, including facilitating real-money gambling.

6. Emails, Notifications, and Communications

6.1 Service Emails.
By using the Service, you agree that No Way Bets may send you emails and notifications related to:

• Account and security matters;
• Pool updates, weekly picks, standings, and prize announcements; and
• Other information reasonably necessary to operate the Service.

6.2 Marketing Communications.
If you opt in, No Way Bets may send you promotional or marketing emails. You may unsubscribe from marketing emails at any time using the unsubscribe link provided in those emails. You may not be able to opt out of certain essential service emails.

6.3 Prize-Related Emails.
Emails that mention weekly or other prizes are informational only and describe promotions administered by Pool Owners. No Way Bets does not guarantee that any prize described in such emails will be provided, and No Way Bets is not responsible for any failure of a Pool Owner to honor a prize.

7. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

8. Intellectual Property

8.1 Our Content.
All content and materials on or related to the Service, including but not limited to text, logos, graphics, interfaces, and software, are owned by or licensed to No Way Bets and are protected by applicable intellectual property laws.

8.2 Limited License.
Subject to your compliance with these Terms, No Way Bets grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended non-monetary, promotional, and entertainment purposes.

8.3 Restrictions.
You may not:

• Copy, modify, distribute, sell, or lease any part of the Service;
• Reverse engineer or attempt to extract source code from the Service; or
• Use the Service or any content for any unauthorized or commercial purpose not expressly permitted by these Terms.

9. Prohibited Uses

You agree not to use the Service to:

• Promote, organize, or facilitate real-money gambling or illegal betting;
• Violate any applicable law, regulation, or third-party rights;
• Upload or transmit viruses, malware, or harmful code;
• Interfere with or disrupt the Service or its servers; or
• Collect or harvest personal information of other users without their consent.

We reserve the right to investigate and take appropriate action, including suspension or termination of access, for any suspected violation of this section.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO WAY BETS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
• ANY WARRANTIES REGARDING AVAILABILITY, ACCURACY, RELIABILITY, OR SECURITY OF THE SERVICE; AND
• ANY WARRANTIES THAT PRIZES WILL BE AWARDED OR DELIVERED BY POOL OWNERS.

YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NO WAY BETS, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR
• ANY DAMAGES ARISING OUT OF OR RELATED TO:
  • YOUR USE OF OR INABILITY TO USE THE SERVICE;
  • ANY ACTIONS OR OMISSIONS OF POOL OWNERS OR OTHER USERS;
  • ANY MONETARY BETS, WAGERS, OR SIDE AGREEMENTS YOU ENTER INTO OUTSIDE THE SERVICE; OR
  • ANY FAILURE BY A POOL OWNER TO AWARD OR DELIVER A PRIZE.

IN NO EVENT SHALL NO WAY BETS’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID (IF ANY) TO NO WAY BETS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless No Way Bets and its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your use or misuse of the Service;
• Your violation of these Terms;
• Any pool you create, administer, or participate in;
• Any monetary or gambling-related activity you conduct outside the Service; or
• Your violation of any law or the rights of any third party.

13. Modifications to the Service and Terms

We may update or modify the Service at any time, with or without notice. We may also update these Terms from time to time. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Texas, U.S.A., without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of such courts.

15. General Provisions

Entire Agreement.
These Terms, together with any other policies or notices we provide, constitute the entire agreement between you and No Way Bets regarding the Service.

Severability.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
